CADDIE CORNER MEMBERSHIP AGREEMENT

This Agreement is between The Caddie Corner, LLC, doing business as Caddie Corner ("Company"), and the individually named Member below. It supplements the accepted General Facility Terms, Bay Rental Policy & Participant Waiver. The After-Hours Golf Access Addendum applies only to qualifying tiers. The separate Privacy Policy describes information practices. The separately dated Membership Benefits & Enrollment Schedule identifies current prices and the exact selected plan; it forms part of this Agreement when accepted.

1. Enrollment and selected tier

Membership belongs to one identified individual. No household sharing, lending, substitution, transfer, resale, commercial use, unauthorized instruction, or booking in another person's name is permitted. The Member must be present whenever their membership benefits are used.

Caddie Card (Tier 1) includes $5 off every bay hour during staffed hours on golf, racing, and dart bays, variable birthday offers, and the Caddie Card booking window. Pro (Tier 2) includes those Caddie Card benefits plus the retail discount, the Pro event bay discount, free entry to Caddie Corner contests, after-hours golf booking at the Pro after-hours rate, and the Pro booking window. Booking windows are stated in Section 7. The Benefits & Enrollment Schedule states the amounts and current prices. Every simulator reservation is separately payable; monthly or annual dues do not create included playing time, unlimited play or rollover credits.

Member rates are applied as follows. For staffed-hours reservations, no payment is taken at booking; the host applies the member rate when checking in the reservation and ringing bay time in Toast at the check-in counter. For Pro after-hours golf reservations, the after-hours rate and any guest fees are prepaid in the app at booking. The Pro after-hours rate already reflects the $5 member discount. The $5 contest entry fee is paid in Toast at the contest; an active Pro member enters free.

Pro is the Tier 2 membership and Caddie Card is the Tier 1 membership. An active Pro booking member receives 10% off the itemized bay-rental cost in an eligible private event. An active Caddie Card or Pro booking member receives the 10% Fantasy Draft discount on the itemized bay-rental cost of a qualifying Fantasy Draft Night. When both event discounts apply, add them: 10% + 10% = 20% off the same original eligible bay-rental amount, not sequential 19% savings. The booking member must be present when using benefits. Nonmembers receive neither event discount.

These event percentages apply only to bay costs, including the expressly itemized bay component of a package. They do not discount food, beverages, food-and-beverage minimums or shortfalls, table/room or exclusivity charges, hosting, branding/boards, awards, merchandise, vendor fees, service charges, or tax. A table-only Draft Night with no bay rental has no bay charge to discount. Any separately applicable staffed-hours hourly or retail membership benefit is separately itemized in the accepted quote; the two event percentages do not create a discount on non-bay items.

Contracted private events use the separate ninety-day booking window. Public leagues/competitions use their published enrollment schedule, not personal bay-booking windows. Membership dues do not include program registration. The golf league registration is a separate per-team purchase, not a per-teammate membership charge.

After-hours golf access is a Pro benefit beginning January 1, 2027. It requires the Pro member to be age 18 or older and to complete identity verification, the online safety/access orientation, individual waiver acceptance, and the After-Hours Golf Access Addendum, and to hold a confirmed after-hours reservation prepaid in the app. After-hours play is golf only, at $35 per bay hour (the $40 after-hours rate less the $5 member discount). There is no racing, darts, bar, kitchen, or other restricted-area access, and no alcohol after hours. The Pro member's physical member card opens the building, and the bay unlocks with a code issued for that after-hours reservation.

A Pro member may bring guests after hours. Each guest must be age 18 or older, have their own Caddie Corner account, and have accepted the participant waiver and the After-Hours Golf Access Addendum when creating that account. Each guest costs $15, paid in the app with the booking. The Pro member must be present for the entire reservation. No more than six people, including the Pro member, may be in a golf bay. No one who does not meet these requirements may be present after hours.

3. Monthly billing and failed payments

For the monthly-billed option, dues automatically renew on the first day of each month. A first partial month beginning midmonth is prorated through the end of that calendar month. The actual charge, covered dates, and next renewal are displayed before enrollment. The Company may change the monthly billing cycle prospectively with the advance notice in Section 10; a cycle change does not authorize duplicate charges for the same period. Annual plans instead follow the activation-anniversary cycle in Section 4.

Monthly fees are separate from rental charges, event purchases, food/drinks, and the setup fee. No unrelated transaction is authorized by membership enrollment. An applicable recurring-payment authorization is accepted separately below.

Membership dues are automatically charged to the authorized card on file. A failed payment immediately disables membership benefits and after-hours access; there is no unpaid access during the fourteen (14) calendar-day payment-resolution grace period. No late fee is imposed. The grace period permits correction of payment, not continued access. Payment retries must follow the accepted authorization. Changing a card does not cancel membership; use the cancellation process. Temporary suspension accounting is addressed in Section 9.

4. Setup fee, annual-prepaid option, and tier changes

The setup fee disclosed at enrollment is a one-time, nonrefundable fee of $10 for Caddie Card or $29 for Pro, separate from monthly dues and bay-rental charges. It does not purchase playing time. The Company may waive setup fees for set promotional periods (for example, the first 90 days after opening) as stated in the Enrollment Schedule; outside a stated promotion, the setup fee applies. No rejoin fee is charged, and no repeat setup fee is imposed merely because the same individual cancels and later rejoins. Nonrefundability does not override applicable legal rights or required remedies for services the Company cannot provide.

Either tier may be purchased as an annual-prepaid membership: $101.90 for twelve months of Caddie Card or $815.90 for twelve months of Pro. Paying for twelve months in one payment receives a 15% discount from twelve monthly dues payments at the applicable rate and waives the setup fee. The term begins on the activation date and lasts twelve months; it automatically renews for successive twelve-month terms on the anniversary date unless renewal is stopped or the membership is ended. The annual total and renewal date/amount are separately disclosed and affirmatively authorized before charging. Annual prepayment does not include simulator hours.

A Caddie Card member may upgrade to Pro by paying the $19 difference between the Pro and Caddie Card setup fees, plus the difference in monthly dues prorated for the rest of the current billing period. A Pro member may downgrade to Caddie Card. The downgrade takes effect at the next renewal date, and Pro benefits continue through the current paid-through date. Renewal after a downgrade is at the Caddie Card rate for the selected monthly or annual option. The Company confirms each tier change, its effective date, and the next renewal amount.

5. Cancellation, nonrenewal, and paid-through dates

Monthly-billed members may cancel at any time to stop the next renewal, provided the request is received before that renewal charge. They retain eligibility through the paid-through date unless separately suspended or banned for a lawful reason. No prorated dues refund is given for voluntary cancellation or nonuse of the paid month. Applicable legal rights and separate remedies for unavailable services are preserved.

Submit cancellations through the online portal/app or directly to a manager at the check-in counter. The successful online-submission timestamp or the time a manager receives an in-person request controls. Online requests count outside staffed hours; delayed staff acknowledgment does not worsen the refund band. Obtain and retain the cancellation confirmation. The Company confirms the selected cancellation action, effective date, paid-through date, future renewal status, and affected booking refunds. Membership questions may be sent to members@caddiecorner.pub.

For an annual-prepaid plan, specify whether you are turning off the next renewal while completing the paid term or ending the current membership early. Turning off renewal leaves benefits in place through the annual paid-through date and does not itself produce an early refund or early-cancellation fee.

A member voluntarily ending an annual-prepaid membership before its paid-through date receives the prorated unused portion of the annual dues actually paid, less a cancellation fee equal to the applicable setup fee disclosed in the Enrollment Schedule. The waived annual setup charge is distinct from this disclosed early-cancellation fee. The annual discount is not separately clawed back on time already used. Nonrenewal at the end of a completed annual term is not early termination. Service-failure and eligible suspension/closure refunds are separate from this voluntary early-cancellation deduction.

The annual cancellation disclosure must show the applicable setup-fee-equivalent deduction and proration method before purchase. The refund is based on the discounted annual amount actually paid and the unused portion of the actual term, accounting for earlier refunds of the same period. The completed Enrollment Schedule records the calculation method and any treatment of a fee exceeding the unused balance. No unspecified extra charge or discount-recapture charge is authorized.

An early-termination confirmation states when membership benefits and after-hours access end. Monthly nonrenewal does not impose a thirty-day notice requirement. Annual renewal may also be stopped before the anniversary charge; an early end to a current annual term follows the separate refund-and-fee rule above. Nonwaivable rights and service-failure remedies remain preserved.

6. Existing after-hours reservations upon cancellation

When a member submits a membership-cancellation request, all then-existing, unstarted after-hours reservations on that account are canceled. Those reservations, including any guest fees, are prepaid in the app. They are refunded under the after-hours refund schedule, measured from receipt of that request to each reservation start: more than 48 hours, 100% refund; 24 through 48 hours inclusive, 50% refund; less than 24 hours or a no-show, no refund. Membership cancellation does not override these percentages. Staffed-hours reservations are not automatically canceled. While eligibility remains active through a paid-through date, the member may make new reservations for that remaining eligible period; those bookings follow the policy in Section 7. No after-hours reservation may be used after eligibility ends.

Canceling a reservation does not cancel membership. Canceling membership does not erase obligations for services already delivered or independently established damage. Removing a guest from a Pro member's after-hours reservation does not automatically cancel that reservation; every remaining attendee must remain eligible under Section 2.

7. Bay reservations, rates, payment, and cleanup

Through February 20, 2027, anyone, including the general public, Caddie Card members, and Pro members, may make ordinary bay reservations up to twenty-one (21) days ahead. After February 20, 2027, the booking windows are fourteen (14) days ahead for the general public, twenty-one (21) days ahead for Caddie Card members, and twenty-eight (28) days ahead for Pro members. These windows apply to the selected tier whether dues are paid monthly or annually. Availability is not guaranteed. Caddie Card advance booking does not authorize after-hours entry.

Hourly bay rates are golf $50 ($45 for Caddie Card and Pro members), racing $35 ($30 for Caddie Card and Pro members), and darts $20 ($15 for Caddie Card and Pro members), billed in half-hour units. Pro after-hours golf is $35 per hour. Bay reservations have a one-hour minimum and no fixed maximum number of booked hours or bays, subject to availability, published operating periods, and safe use. Golf/sports bays have a maximum of six occupants; racing bays and dart bays each have a maximum of four occupants. Everyone physically in a bay counts, including spectators, supervising adults, and staff entering to assist. Bay occupancy is not simultaneous active-player capacity. Staffed hours, designated after-hours golf bays, and entry/departure windows are published in the booking system.

No payment is taken in the app for a staffed-hours reservation. Every reservation, whether made online, by phone, or as a walk-in, requires a card saved on file with the Company's payment provider. The card is saved, not charged, and is charged only for a late cancellation or no-show as stated below. On arrival, guests go to the check-in counter, where the host checks in the reservation, confirms waivers, unlocks the bay, and rings bay time in Toast, applying the member rate when applicable. Bay time, food, drinks, and retail are paid in Toast at the venue. Pro after-hours reservations, including guest fees, are prepaid in the app at booking. If an eligible Pro reservation crosses from staffed into after-hours periods, each portion is priced at its applicable rate. Only attendees eligible under Section 2 may remain after hours. A Pro reservation that runs from staffed hours into after hours is priced by its two portions: the staffed portion is paid in Toast at check-in, and the after-hours portion is prepaid in the app at booking. Times outside staffed hours are shown in the booking system only to eligible Pro members.

All golf, racing, and dart bay play must stop five (5) minutes before the scheduled reservation ending time. The final five minutes are reserved for collecting belongings, returning equipment, removing trash, and cleanup; the bay must be vacated by the scheduled ending time. This cleanup period is included in the reserved time, not added after it. A 7:00-8:00 p.m. reservation stops play at 7:55 p.m. and is vacated by 8:00 p.m. Late arrival does not extend either cutoff. This rule applies to ordinary rentals, member rentals, contracted private events, leagues, and public competitions. A two-hour league block provides up to 115 minutes before cleanup, not two uninterrupted hours of play.

Available paid extensions may be added in the app. The added duration and price are presented and must be accepted before additional time is added, and the extension is rung in Toast with the reservation's bay time. An offer alone does not extend the reservation. An accepted extension updates the authorized ending time, with play ending five minutes before that revised time. Paid extensions are separate from no-charge extensions issued to replace verified service-failure time.

For staffed-hours reservations, the cancellation and no-show fees charged to the card on file are:

A late-cancellation fee is charged automatically when the guest cancels, after the amount is shown and confirmed. A reservation not checked in within 15 minutes after its scheduled start may be marked a no-show, and a manager charges the no-show fee. Pro after-hours reservations are prepaid and follow the refund schedule in Section 6.

An automatic 18% service charge applies in Toast to events or groups of eight or more people, including ordinary groups without a formal event agreement. The charge is calculated on the applicable entire pretax food, beverage, rental, and other event/group bill, before sales tax and without compounding the charge on itself. One hundred percent of the service charge is distributed to staff. It is a mandatory service charge, not an optional tip. The charge is disclosed before purchase or event acceptance; any additional voluntary tip is optional.

The 18% service charge does not apply to league registration fees; separately purchased food/drinks and rentals follow their own disclosed group treatment.

8. Unavailable services, interruptions, and financial remedies

Report a simulator or bay failure promptly and stop unsafe use. Only Caddie Corner may authorize a replacement-time extension. No extension may displace another reservation or bypass access controls.

For verified unusable playing time caused by a service failure not attributable to the customer, Caddie Corner will authorize a no-charge extension when feasible. An extension must not displace another reservation or bypass access controls. If the time cannot be restored, Caddie Corner credits the affected rental bill; if prepaid, that adjustment is refunded to the original payment method, not made compulsory store credit. The rental adjustment equals the affected bay-rental charge multiplied by verified lost playing minutes divided by scheduled playing minutes (the reservation block less the five-minute cleanup allowance), capped at the affected rental charge. Customer lateness and scheduled cleanup are not downtime. Delivered food, drinks, and other delivered services are not automatically refunded.

Separately purchased public league/competition participation follows the accepted program payment and venue-disruption policy, not the ordinary bay-minute remedy. A program cancellation does not cancel membership; membership cancellation does not by itself cancel an otherwise eligible staffed league registration.

Voluntary nonuse is different from the Company's failure to provide a material paid benefit. If the Company permanently closes or ends the purchased tier, it will stop future dues and refund unused prepaid membership fees for the period it cannot provide. Brief maintenance or an unavailable preferred time slot does not by itself establish loss of the entire membership benefit.

If the entire purchased after-hours golf benefit becomes unavailable, the membership adjustment begins with the first unavailable day; there is no waiting threshold. For monthly-billed members, the proportionate adjustment is credited against the next membership bill, with an unused closure credit refunded if membership ends before another bill is issued. For annual-prepaid members, the adjustment is a proportionate refund based on the annual membership dues actually paid, not a required future renewal credit. A preferred time being booked or one bay being unavailable while the benefit remains available does not by itself establish a complete loss of that benefit. Approved monetary refunds are initiated to the original payment method within ten (10) business days, subject to any shorter legally required period. Bank posting times may differ. Corresponding taxes and affected transaction charges are adjusted as applicable. No undisclosed processing fee is deducted.

9. Suspension, termination, and bans

Caddie Corner reserves the right, at any time, to refuse admission, stop participation, remove a person, suspend privileges, terminate membership, or impose a temporary or permanent ban for any lawful, nondiscriminatory reason. Prior warning is not required where action is appropriate, including safety, security, misconduct, nonpayment, credential abuse, or operational concerns. This discretion does not authorize unlawful discrimination, retaliation, denial of legally required accommodations, or retention of money contrary to the accepted financial terms or applicable law.

The Company may immediately disable access for suspected security compromise or unsafe use, investigate, and communicate a decision when practicable. Banned or suspended persons may not bypass the restriction by booking through another person. Financial responsibility for damage remains conduct-based under the General Facility Terms.

Membership billing pauses during a temporary suspension. For monthly dues already paid, eligible suspended days produce a proportionate credit against the next membership bill. For annual-prepaid members, eligible suspended days produce a proportionate refund of annual dues actually paid. No amount is refunded twice, and amounts not paid cannot generate a refund. The failed-payment access restriction in Section 3 does not provide free access during its payment-resolution grace period.

On a Company-imposed ban or permanent membership termination, future recurring dues stop, and unstarted future reservations affected by the ban are canceled without any late-cancellation or no-show fee; any prepaid amount for those reservations, including a Pro after-hours reservation and its guest fees, is refunded. Unused current-period membership dues and the unused part of a session already underway are not refunded merely because of a ban, except where applicable law requires a refund or a separately applicable service-failure remedy applies. Documented damage is assessed separately; a ban does not authorize additional undisclosed fines. This ban rule is distinct from voluntary annual early cancellation.

10. Changes to dues or material benefits

Changes to dues, material membership benefits, or the monthly billing cycle apply prospectively with at least thirty (30) days' advance notice describing the change, effective date, and cancellation method, or longer if law requires. No change retroactively increases an already-paid annual term or a confirmed rental price. The renewal notice and checkout record must identify the amount authorized for the next term; legally required consent is obtained. Immediate reasonable safety/security directions do not independently authorize new charges.

11. Documents, rights, and contact

The General Facility Terms address safety, damage, the participant waiver, governing law, and dispute resolution. This Agreement controls membership fees and cancellation, and the After-Hours Golf Access Addendum controls after-hours eligibility/security. An event rental requires its own agreement; ordinary membership privileges cannot be resold as an event.

12. Affirmative enrollment and recurring-payment authorization

MEMBERSHIP ACCEPTANCE: I have received this Agreement and my completed Benefits & Enrollment Schedule, including the selected tier, monthly or annual plan, separate rental charges, setup treatment, renewal dates/amounts, cancellation method, annual early-cancellation disclosure if selected, and after-hours restrictions. I agree to those terms.

RECURRING-PAYMENT AUTHORIZATION: I authorize The Caddie Corner, LLC and its payment provider to charge the payment method selected in my completed Enrollment Schedule for the stated amount due today, any stated one-time setup fee, and the separately stated monthly or annual renewal amount on the listed renewal date and cycle until I stop renewal or end membership through the portal/app or a manager at check-in. Applicable tax is shown before charging. This is not unlimited damage-charge authorization or marketing consent.
